Conditions for using the Atelie application

1. Scope

These Terms of Use (the "Terms") govern your use of the software application "Atelie" (the "Software") provided by Scritt Solutions ("we", "us"). By downloading, installing, or using the Software, you (the "User") agree to be bound by these Terms.

2. License Grant

We grant the User a non-exclusive, non-transferable, royalty-free license to use the Software for personal or commercial purposes, subject to compliance with these Terms. We may revoke this license upon notice if the User breaches these Terms.

3. Copyright and Intellectual Property

3.1 All copyrights, trademarks, and other intellectual property rights in the Software and related materials belong to us or our licensors.

3.2 All rights in notes, tasks, attachments, and other data created by the User using the Software ("User Content") belong to the User. We claim no rights in User Content.

4. Prohibited Activities

The User must not engage in any of the following activities when using the Software:

  • (1) Redistributing, mirroring, or publishing the Software's distribution files (such as the .dmg file) to third parties without our prior written consent
  • (2) Reverse engineering, decompiling, or disassembling the Software (except to the extent expressly permitted by applicable law)
  • (3) Modifying, altering, or creating derivative works of the Software
  • (4) Using the Software for any unlawful, harmful, or rights-infringing purpose
  • (5) Infringing the rights, interests, or reputation of us or any third party
  • (6) Any other activity contrary to the intent of these Terms

5. No Warranty

5.1 The Software is provided "AS IS". We make no warranty that the Software is fit for any particular purpose, free from errors or defects, or will produce any specific result.

5.2 We assume no responsibility for data loss, file corruption, or other damages that may arise from use of the Software. The User is strongly encouraged to back up important data regularly using git or similar means.

6. Limitation of Liability

6.1 We shall not be liable for any direct, indirect, special, incidental, or consequential damages (including loss of profits, data, or business interruption) arising from use of or inability to use the Software, except in cases of our willful misconduct or gross negligence.

6.2 Where applicable law does not permit the limitation of liability under this section, our liability shall be limited to the maximum extent permitted by law.

6.3 If the User qualifies as a consumer under the Consumer Contract Act of Japan, this section applies only to the extent it does not conflict with the mandatory provisions of that Act; conflicting portions shall be interpreted in accordance with those provisions.

7. Termination

7.1 The User may terminate use under these Terms at any time by uninstalling the Software.

7.2 If the User breaches these Terms, we may immediately terminate the license under these Terms upon notice.

7.3 Even after termination of these Terms, rights in User Content remain with the User.

8. Updates

8.1 We have no obligation to provide future versions of the Software.

8.2 Future versions may be subject to new terms of use different from these Terms. However, any such new terms shall take effect from the time the User downloads or installs the future version, and shall not be retroactively applied to use of the current version.

9. Governing Law and Jurisdiction

9.1 These Terms are governed by and construed in accordance with the laws of Japan.

9.2 The Saitama District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising in connection with the Software or these Terms.

11. Changes to the Terms

11.1 We may update these Terms in the future.

11.2 Changes will be notified at the time of release of the version of the Software to which they apply. For the current version, the Terms in effect at the time of download continue to apply.

12. Language

These Terms are provided in both Japanese and English. In case of any discrepancy in interpretation between the two versions, the Japanese version shall prevail.
